General Terms and Conditions (GTC) of ERDIG Living Soils AG

 

1.           Scope

1.1      These General Terms and Conditions (GTC) apply to all contracts, deliveries, and services of ERDIG Living Soils AG, Meggen, Switzerland (hereinafter referred to as the “Seller”) in connection with the sale of extractors, accessories, and related products (hereinafter referred to as “Products”).

1.2      The GTC apply to all orders placed via the website erdig.ch, by email, telephone, in writing, or directly through our sales representatives.

1.3      These GTC apply to customers with residence or business address in Switzerland as well as in the European Union.

1.4      Deviating terms and conditions of the customer are not accepted unless ERDIG Living Soils AG expressly agrees to their validity in writing.

1.5      The current version of the GTC is available on erdig.ch and applies at the time the contract is concluded.

 

2.           Conclusion of Contract

2.1      A contract between the customer and ERDIG Living Soils AG is only concluded upon the Seller’s explicit acceptance of the order. Acceptance generally occurs through an order confirmation sent by email.

2.2      The presentation of products on erdig.ch, in catalogues, or by our sales representatives does not constitute a legally binding offer but an invitation to submit an order.

2.3      The customer is obliged to provide truthful, complete, and uptodate information throughout the entire ordering process. Incorrect or incomplete information may lead to rejection or cancellation of the order.

2.4      The Seller stores the contract text. Upon request, the Seller provides the customer with the contract text (e.g., order confirmation, invoice documents).

2.5      ERDIG Living Soils AG reserves the right to reject orders without stating reasons, particularly in cases of unavailability, outstanding payments, unclear information, or legal restrictions in the destination country.

2.6      Full payment of the order is a prerequisite for delivery of the products unless expressly agreed otherwise.

2.7      Changes or additions to an existing contract require the written consent of the Seller.

 

3.           Prices and Payment Terms

3.1      All prices are stated in Swiss francs (CHF) for deliveries to Switzerland and Liechtenstein, and in euros (EUR) for deliveries to the EU. Prices include statutory value‑added tax unless expressly stated otherwise.

3.2      ERDIG Living Soils AG is the Importer of Record for goods originating from the USA. Customs duties and import VAT are borne by the Seller. Transport and shipping costs are charged to the customer and are shown separately during the ordering process.

3.3      Prices may be changed at any time. The price confirmed at the time of the order applies to the customer.

3.4      Payment is made by bank transfer. Bank details are provided to the customer in the order confirmation or invoice. Online orders are paid by credit card.

3.5      ERDIG Living Soils AG requires a deposit for its products or orders, the amount of which is communicated prior to the conclusion of the contract; full payment is a prerequisite for delivery unless expressly agreed otherwise.

3.6      In the event of late payment, the Seller is entitled to charge default interest as well as reminder and collection fees; further deliveries may be withheld until outstanding amounts have been settled.

 

4.           Delivery, Shipping, and Transfer of Risk

4.1      Delivery is made to the address provided by the customer in Switzerland, Liechtenstein, or the EU. The customer is responsible for providing complete and accurate delivery information.

4.2      Transport and shipping costs are shown separately during the ordering process. The choice of shipping method and carrier is made by the Seller unless otherwise agreed.

4.3      Delivery times are communicated separately by the carrier once the goods have been handed over. Any information regarding delivery times is nonbinding unless expressly confirmed as binding.

4.4      Partial deliveries are permitted if reasonable for the customer. No additional shipping costs arise for the customer as a result.

4.5      Risk transfers to the customer as soon as the goods have been handed over to the carrier. For consumers in the EU, the risk transfers only upon physical receipt of the goods, in accordance with applicable consumer protection laws.

4.6      The customer must inspect the goods immediately upon receipt for completeness and any visible transport damage. Any transport damage must be reported to the Seller without delay, but no later than 48 hours after receipt of the goods, in writing. If no timely notification is made, the goods are deemed accepted with regard to obvious transport damage. Hidden defects must be reported immediately upon discovery.

 

5.           Product Safety, Compliance, and Instructions for Use

5.1      EDIG Living Soils AG ensures that the products it supplies—particularly extractors—comply with the applicable safety and compliance regulations of Switzerland, Liechtenstein, and the European Union.

5.2      For distribution within the EU, the Seller ensures that the products bear the required CE marking and that an EU Declaration of Conformity is available. Manufacturer or import documents, test reports, and declarations of conformity are provided to the customer upon request.

5.3      Instructions for use, safetyrelevant information, and warnings are provided in the official language of the delivery country. The customer is obliged to read the instructions carefully, follow all safety information, and use the products exclusively in accordance with their intended purpose.

5.4      The Seller may, at its discretion, provide the following remedies: repair, replacement, reduction of the purchase price, or refund against return of the product. Manufacturer warranties remain unaffected; ERDIG Living Soils AG does not provide any warranty beyond the manufacturer’s warranty unless expressly agreed in writing.

5.5      Warranty claims expire in the event of improper use, interference by third parties, or violations of statutory provisions. The customer must inform the Seller immediately if third parties assert claims due to safety or compliance defects.

 

6.           Warranty

6.1      The warranty covers material and manufacturing defects. Excluded are damages resulting from improper use, modifications, wear and tear, incorrect installation, or failure to follow the instructions for use.

6.2      Warranty Switzerland
For customers in Switzerland, the statutory warranty period is two years from delivery. We warrant that the goods are free from material and legal defects at the time the risk is transferred. In the event of defects, the customer is entitled to the statutory rights of repair, replacement, price reduction, or withdrawal. No additional warranty is provided unless expressly agreed in writing.

6.3      Warranty EU
For deliveries to the EU, the mandatory national warranty provisions apply; where applicable, the warranty period for consumers is two years.

6.4      Defect Notification and Procedure The customer must inspect the goods immediately. Visible defects must be reported in writing within 7 days of receipt; hidden defects must be reported immediately upon discovery. Defect notifications must include the order or invoice number and a description of the defect and must be sent to the contact address specified in the order confirmation. Upon request, the defective goods must be made available for inspection or returned.

 

7.           Liability

7.1      ERDIG Living Soils AG is liable only for damages caused intentionally or through gross negligence.

7.2      In cases of slight negligence, ERDIG Living Soils AG is only liable for breaches of essential contractual obligations. In such cases, liability is limited to the foreseeable, contracttypical damage.

7.3      Liability for indirect damages, consequential damages, loss of profit, or production downtime is excluded to the extent permitted by law.

7.4      The Seller is not liable for damages resulting from improper use, unauthorized modifications, incorrect installation, or failure to follow safety and operating instructions.

 

8.           Returns, Right of Withdrawal, and Return Shipments

8.1      ERDIG Living Soils AG grants customers in Switzerland a voluntary right of return of 14 days from receipt of the goods. Returns are accepted only for unused, complete products in their original packaging. Return shipping costs are borne by the customer unless otherwise agreed. Excluded from return are sealed hygiene or safety items whose seal has been removed (e.g., cleaning or disinfection kits for extractors, organic substrates, starter cultures).

8.2      Customers in the EU have a statutory right of withdrawal of 14 days from receipt of the goods. Information on the right of withdrawal, deadlines, and the withdrawal form is provided during the ordering process and in the order confirmation.

In the event of withdrawal, ERDIG Living Soils AG will refund all payments no later than 14 days after receipt of the withdrawal notice. The customer bears the direct costs of returning the goods unless otherwise agreed. Exceptions apply to sealed goods that cannot be returned for hygiene or health protection reasons, as well as other statutory exceptions.

8.3      For online orders, return instructions are provided in the online shop and in the order confirmation. Refunds are issued using the same payment method used for the original order unless otherwise agreed. We may claim compensation for any loss in value if the goods were used beyond what is necessary to verify their condition. Returns sent without prior consultation may delay processing.

 

9.           Data Protection

9.1      Personal data is processed exclusively in accordance with the applicable data protection laws of Switzerland and, where applicable, the EU General Data Protection Regulation (GDPR).

9.2      Details regarding data processing, the rights of data subjects, and the contact options for the data protection officer are set out in the privacy policy available on the website.

9.3      For customers based in the EU, the rights provided under the GDPR apply, including the right of access, rectification, erasure, restriction of processing, data portability, and objection. Customers also have the right to lodge a complaint with a competent supervisory authority.

 

10.      Packaging, Environment, and Disposal

10.1  ERDIG Living Soils AG complies with the statutory requirements for packaging, take‑back, and disposal in Switzerland, Liechtenstein, and the respective EU member states.

10.2  For deliveries to the EU, ERDIG Living Soils AG is registered in the required countries as a distributor/manufacturer/importer and fulfils the obligations of the respective packaging and take‑back regulations.

10.3  For electrical equipment, the national take‑back and disposal obligations apply. Old equipment must be disposed of properly and in an environmentally sound manner in accordance with the applicable EU and national regulations for Waste Electrical and Electronic Equipment (WEEE). Disposal via household waste is strictly prohibited. The customer is obliged to deliver old equipment to an appropriate collection point or return it to the following address:

11.      Applicable Law and Jurisdiction

11.1  A consumer within the meaning of these provisions is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or professional activity.

11.2  An entrepreneur is any natural or legal person or partnership with legal capacity who enters into a legal transaction in the exercise of their trade or selfemployed Professional activity.

11.3  For contracts with customers based in Switzerland or Liechtenstein, Swiss law applies exclusively. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

11.4  The place of jurisdiction for all disputes arising from or in connection with such contracts is the registered office of ERDIG Living Soils AG in Meggen/Lucerne, unless mandatory statutory provisions stipulate otherwise.

11.5  If the contract is concluded with a consumer in the EU, the mandatory consumer protection provisions of the state in which the consumer has their habitual residence apply.

11.6  For contracts with entrepreneurs in the EU, Swiss law applies; the CISG is excluded. The exclusive place of jurisdiction for disputes with entrepreneurs is the registered office of ERDIG Living Soils AG in Meggen/Lucerne, unless mandatory statutory provisions provide otherwise.

11.7  Mandatory statutory provisions of the applicable law remain unaffected by the above regulations.

 

12.      Severability Clause

Should individual provisions of these GTC be or become invalid or unenforceable, in whole or in part, the validity of the remaining provisions shall remain unaffected. In place of the invalid or unenforceable provision, the valid and enforceable provision that most closely reflects the economic purpose of the invalid provision shall be deemed agreed. The same applies to any contractual gaps.

 

13.      Amendments to the GTC

The Seller reserves the right to amend these GTC at any time. The current version is published on the website www.erdig.ch. For contracts already concluded, the version valid at the time of contract conclusion applies. Any amendments will be communicated to the customer in a timely manner.
